EquipmentShare Announces Change in State of Incorporation from Delaware to Texas

The decision reflects the company’s long-term growth strategy and its commitment to aligning its operations with the regions where it is most involved in building, hiring and innovating at scale, the company said.

EquipmentShare, a leading technology-driven equipment rental and solutions provider, announced that it has officially moved its state of incorporation from Delaware to Texas, effective June 30, 2025. The decision reflects the company’s long-term growth strategy and its commitment to aligning its operations with the regions where it is most involved in building, hiring and innovating at scale, the company said.

“Our very first branch outside of our home state of Missouri was in Dallas,” said Jabbok Schlacks, CEO and co-founder of EquipmentShare. “Since then, Texas has become an important market. It is home to more than 1,400 team members, 60+ locations and some of the most exciting construction and infrastructure projects in the country. As we look to the future, it makes sense to align our legal structure with the reality of our growth.”

Founded in 2015 and headquartered in Columbia, Mo., EquipmentShare operates more than 326 locations nationwide and employs more than 6,900 people. The company builds and deploys proprietary technology, its T3 platform, to digitize and connect the jobsite, enabling contractors to optimize fleet management, reduce downtime and unlock new levels of productivity.

Texas has rapidly emerged as a national leader in economic growth, business investment, and regulatory innovation. The state has also taken steps to modernize its business courts and governance laws.

The move does not impact existing operations or its headquarters in Columbia, Mo.
