IRVING, Texas — E*machinery.net offered to purchase Western Power & Equipment, No. 38 on the RER 100, for $9 million. The offer, which consists of $7 million in common stock and $2 million cash, also includes the assumption of certain limited liabilities.

A company spokesman said Western Power & Equipment's board of directors was still considering the offer.

The Vancouver, Wash.-based firm reported a net loss of $5.12 million, $1.53 a share, for the period ended April 30 compared with a loss of $950,000, 29 cents a share, a year earlier. The Vancouver, Wash.-based equipment dealer posted a 5 percent decrease in third-quarter revenues to $33.6 million compared with $35.3 million during the same period a year ago.

Year-to-date revenues also dipped 5 percent to $105.7 million from $111.4 million in the fiscal 2000 period. The company posted a net loss of $2.96 million, 88 cents a share, compared with a loss of $1.11 million, 33 cents a share, for the first nine months of fiscal 2000.

Western Power & Equipment posted rental revenues of $25.5 million in 2000 and has 18 outlets.
